Concentric Silicon, Inc. (“Concentric Silicon,” “Company,” “we,” “us,” or “our”) sells electronic components and related products (collectively, “Products”) on a final-sale basis. Except as expressly and narrowly provided in this Returns Policy (“Policy”), all sales are final, non-cancelable, and non-returnable, and we do not accept returns, exchanges, or requests for refund, credit, or replacement for any reason, including but not limited to buyer’s remorse, ordering errors, over-ordering, design changes, program cancellations, obsolescence, changes in market price or availability, or a Product no longer being required.

Electronic components are sensitive to handling, electrostatic discharge, moisture, temperature, and storage conditions that we cannot control once a Product leaves our custody. For this reason, and because many Products are sold from limited or allocated inventory, our standard terms do not permit returns.

Limited Defect Exception; Third-Party Testing

Concentric Silicon may, in its sole discretion, consider a return only where Buyer alleges that the Product was defective or nonconforming at the time of delivery (a “Verified Defect”). Nothing in this Policy obligates us to accept any return, and our review of any individual request shall not waive or modify the terms of this Policy or create any obligation with respect to any other request.

Buyer must, at Buyer’s sole cost, submit the Product to an independent third-party test house reasonably acceptable to Concentric Silicon. Testing must determine whether the Product fails to meet the manufacturer’s published specifications or written requirements expressly agreed to by Concentric Silicon.

No Product will be deemed defective or nonconforming unless independent testing confirms the issue existed at delivery and Concentric Silicon accepts the finding in its sole discretion.

Products are not eligible for return if the issue results from or is contributed to by improper handling, storage, installation, soldering, rework, programming, testing, ESD, contamination, misuse, alteration, or use outside manufacturer specifications. Products opened, unsealed, marked, modified, programmed, or otherwise changed after delivery are not eligible.

Inspection & Notice Window

You are responsible for inspecting all Products promptly upon receipt. Any claim of a Verified Defect, shortage, or shipping discrepancy must be submitted to us in writing at contact@concentricsilicon.com within seven (7) calendar days of the delivery date, and must include the order or invoice number, the manufacturer part number, the quantity affected, date and lot/date codes where applicable, and a detailed description of the alleged defect supported by photographs or other reasonable evidence.

Claims not submitted within this window are conclusively deemed waived, and the Products will be conclusively deemed accepted, conforming, and irrevocably purchased. Time is of the essence with respect to all notice requirements under this Policy.

Return Authorization Required

No Product may be returned without a written Return Material Authorization (“RMA”) number issued by Concentric Silicon in advance. Products returned without a valid RMA, or returned after the authorization period stated on the RMA, may be refused, returned to you at your expense, or held without credit.

Authorized returns must be shipped in their original, unopened, undamaged manufacturer packaging, with all labels, seals, documentation, and antistatic and moisture-barrier materials intact, using handling and shipping methods appropriate for electrostatic- and moisture-sensitive devices. Risk of loss and all shipping costs for returns remain with you unless we expressly agree otherwise in writing.

Inspection & Determination

All returned Products are subject to our inspection and, where we deem appropriate, evaluation by the original manufacturer or an independent laboratory. Concentric Silicon is the sole judge of whether a Verified Defect exists and whether a Product qualifies under this Policy. If a returned Product is found not to be defective, or is found to be ineligible under this Policy, we may return it to you at your expense without credit, and a restocking or handling charge may apply. We reserve the right to refuse any return that does not strictly comply with this Policy.

Remedies for Verified Defects

If we confirm a Verified Defect, your sole and exclusive remedy, and our entire liability, shall be, at Concentric Silicon’s sole election, one of the following: (i) replacement of the affected Product, subject to availability; (ii) repair, where applicable; or (iii) issuance of a credit or refund in an amount not to exceed the price actually paid by you for the affected Product.

In no event shall any refund or credit exceed the purchase price actually paid for the affected Product, and in no event shall we be responsible for shipping, freight, duties, taxes, insurance, assembly, rework, testing, or any other costs. We do not provide advance replacements. Replacement Products are warranted only for the unexpired portion of any applicable original period.

No Warranties; Manufacturer Warranties Only

Except as expressly stated in this Policy, all Products are provided “AS IS” and “WITH ALL FAULTS.” To the maximum extent permitted by law, Concentric Silicon disclaims all warranties, whether express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Concentric Silicon is a distributor and not a manufacturer of the Products. Any warranty applicable to a Product is provided solely by its manufacturer, to the extent such manufacturer extends warranty coverage to you, and is subject to the manufacturer’s terms, conditions, and limitations. This Policy does not enlarge, supplement, or alter any manufacturer warranty.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Concentric Silicon, its affiliates, suppliers, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, production, or use, arising out of or relating to the Products or this Policy, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to any Product shall not exceed the price actually paid for that Product.

Counterfeit Avoidance & Traceability

To protect the integrity of the electronic component supply chain and to guard against counterfeit and nonconforming parts, Concentric Silicon will not accept the return of any Product where the chain of custody, packaging integrity, labeling, or lot/date-code traceability cannot be verified to our satisfaction. We reserve the right to refuse any return, and to retain any Product or report it to the manufacturer or applicable authorities, where we reasonably suspect the Product has been altered, substituted, or tampered with after delivery.

How to Request a Return

To request consideration of a return, contact our team in writing within the inspection window described above with your order or invoice number, manufacturer part number, affected quantity, lot/date codes, and a detailed description and photographs of the alleged defect. Do not ship any Product back to us before receiving a written RMA.

Governing Terms & Changes

This Policy supplements, and is incorporated into, the terms applicable to your purchase. In the event of a conflict, the terms of your order acknowledgment or a separately executed agreement with Concentric Silicon shall control to the extent they are more protective of Concentric Silicon. We reserve the right to modify this Policy at any time, and any change will be posted on this page with an updated “Last Updated” date. The Policy in effect on the date of your order governs that order.
